Acceptance of Terms

By accessing or using DinnerDesk (“the Service”), you agree to be bound by these Terms of Use (“Terms”). These Terms constitute a legally binding agreement between you and Joshu.AI, LLC d/b/a Livarya (“Livarya,” “we,” “us,” or “our”), a Colorado limited liability company.

If you do not agree to these Terms, please do not use the Service.

Eligibility

You must be at least 18 years of age to create an account and use the Service. By using DinnerDesk, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement.

Account holders who are 18 or older may use DinnerDesk on behalf of their household, including sharing meal plans and grocery lists with household members of any age. However, the account holder remains solely responsible for all activity associated with their account.

User Accounts

To access the full features of DinnerDesk, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, pose a risk to the Service or other users.

Description of Service

DinnerDesk is an AI-powered meal planning platform that helps households plan weekly meals, generate recipes, build grocery lists, and optionally push grocery items to supported retailer accounts (including Kroger).

The Service includes:

• AI-generated weekly meal plans tailored to your household profile
• Personalized recipes based on dietary preferences and restrictions
• Grocery list generation with real-time pricing from supported retailers
• Optional cart integration with Kroger and affiliated grocery chains
• Household profile and pantry management tools
• Dinner Roulette — AI-generated recipes based on a randomly selected cuisine (Pro)
• Saved Recipes — household recipe collection saved from meal plans and Dinner Roulette (Pro)
• Meal ratings and AI-informed plan personalization based on household taste history (Pro)
• In-app bug reporting tool available to all users

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

Subscriptions & Billing

DinnerDesk offers both free and paid subscription tiers. Paid subscriptions are billed on a recurring basis (monthly or annually, as selected at checkout).

• No refunds: All charges are final and non-refundable. Once a billing cycle has been charged, we do not issue refunds for unused portions of the subscription period.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
• Price changes: We reserve the right to change subscription pricing at any time. We will provide at least 30 days’ notice to existing subscribers before any price increase takes effect.
• Payment processing: Payments are processed by third-party payment processors. By subscribing, you agree to their terms of service as well.

Free Trial

New users may be eligible for a 7-day free trial of the paid subscription tier. The free trial provides full access to all paid features, including grocery cart integration.

• Only one free trial per user or household is permitted
• A valid payment method may be required to start a free trial
• If you do not cancel before the trial period ends, your payment method will be charged the applicable subscription rate
• We reserve the right to modify or discontinue the free trial offer at any time

Acceptable Use

You agree not to use DinnerDesk to:

• Violate any applicable local, state, national, or international law
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, crawl, or systematically extract data from the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service for any commercial purpose without our express written consent
• Transmit any harmful, offensive, or disruptive content
• Impersonate any person or entity
• Submit false, misleading, or malicious content through the bug report tool
• Attempt to abuse or flood automated systems including bug report submission endpoints

Intellectual Property

All content, features, and functionality of DinnerDesk — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Joshu.AI, LLC d/b/a Livarya and are protected by applicable intellectual property laws.

AI-generated meal plans and recipes produced by the Service are provided for your personal, non-commercial household use. You may not resell, redistribute, or publish AI-generated content from DinnerDesk without our prior written consent.

You retain ownership of any personal data and household information you provide to the Service.

Third-Party Services

DinnerDesk integrates with third-party services including Kroger and its affiliated grocery chains. Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

We are not responsible for the availability, accuracy, or conduct of any third-party service. Any issues with grocery orders, cart contents, or retailer accounts should be directed to the applicable retailer.

DinnerDesk uses the Anthropic Claude API to generate meal plans and recipes. User household data including dietary preferences is transmitted to Anthropic for processing. Please review our AI Ethics & Transparency Policy for more information.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

DinnerDesk does not provide medical, nutritional, or dietary advice. AI-generated meal plans and recipes are for general informational and convenience purposes only. Users with specific medical conditions, allergies, or dietary requirements should consult a qualified healthcare professional before relying on any content generated by the Service.

We do not guarantee the accuracy of grocery pricing, product availability, or cart integration functionality, as these are dependent on third-party retailer systems.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVARYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Dispute Resolution & Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be conducted by a mutually agreed upon arbitrator under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Colorado, and the arbitrator’s decision shall be final and binding.

Class action waiver: You agree that any arbitration or proceeding shall be limited to the dispute between Livarya and you individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Termination

You may delete your account at any time through your account settings. Upon account deletion, your data will be retained for 30 days to allow for accidental deletion recovery, after which it will be permanently and automatically deleted from our systems.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service immediately ceases.

Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Updated Terms will be posted to this page with a revised effective date. Where feasible, we will notify registered users of material changes via an in-app notification requiring acknowledgment.

Your continued use of DinnerDesk following any changes constitutes your acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.
